Terms of Service
Effective Date: September 16, 2026
Last Updated: September 16, 2026
These Terms of Service ("Terms") are a binding agreement between you and VaultWiz LLC, doing business as ShoBiz ("ShoBiz," "we," "us," or "our"). They govern your use of the ShoBiz platform, website, WordPress plugin, APIs, and related services (together, the "Services").
Please read Section 20 carefully. It requires most disputes to be resolved by individual arbitration and waives your right to participate in a class action. You may opt out of arbitration within 30 days.
By creating an account, installing the plugin, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means that organization.
1. The Services
ShoBiz is a business management platform. Depending on your plan, it may include client and lead management, banking and credit application tracking, document storage and e-signature, accounting and reporting, scheduling, communications (email, SMS, and voice), campaigns, and integrations with third-party services.
We may add, change, or remove features. If we make a change that materially reduces the core functionality of a paid plan, you may cancel and receive a pro-rata refund of prepaid fees for the remainder of the then-current term, as your sole remedy.
ShoBiz is a software tool, not a professional service. Section 16 explains what we are not.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract. The Services are offered in the United States.
You are responsible for:
The accuracy of your registration information
Keeping your password, API keys, and connection keys confidential
All activity that occurs under your account, including by your users
Promptly notifying us at info@shobizapp.com of any unauthorized use
If your organization has multiple users, the account owner controls roles and permissions and is responsible for their conduct. We are not liable for loss caused by unauthorized use of your credentials.
3. Subscriptions, Trials, and Billing
3.1 Plans
The Services are offered on free and paid plans (including personal, starter, professional, business, enterprise, and custom tiers), billed monthly, quarterly, or annually. Your plan, price, and billing cycle are shown at checkout and in your account.
3.2 Free Trials
We may offer a free trial. Unless you cancel before the trial ends, the trial converts automatically into a paid subscription at the then-current rate for the plan and billing cycle you selected, and the payment method on file is charged.
We will send a reminder to the email address on your account before the first charge. You may cancel at any time during the trial from your account settings, and you will not be charged.
Trials are limited to one per customer unless we agree otherwise.
3.3 Automatic Renewal
Paid subscriptions renew automatically at the end of each billing period at the then-current rate, until cancelled.
To cancel, use the cancellation control in your account settings, or email info@shobizapp.com. Cancellation takes effect at the end of the current billing period: you keep access until then, and you are not charged again.
3.4 Price Changes
We may change prices. We will give you at least 30 days' notice by email before a change applies to your subscription, and the change takes effect on your next renewal. If you do not accept the new price, cancel before that renewal.
3.5 Add-Ons and Seats
Some features are billed as add-ons — additional user seats, business seats, storage, and industry modules. Seat-based add-ons are billed on the number of seats in use. If you add seats mid-period, we charge a prorated amount for the remainder of the period. Reducing seats takes effect at the next renewal.
3.6 Payment
You authorize us and our payment processors to charge your payment method for all fees. You must keep a valid payment method on file.
Failed payments. If a charge fails, we may retry, and we may suspend access until the balance is paid. Amounts more than 30 days overdue may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
3.7 Taxes
Fees are exclusive of taxes. You are responsible for all sales, use, VAT, and similar taxes, excluding taxes on our income.
3.8 Refunds
Fees are non-refundable, except where required by law or expressly stated in these Terms. Cancelling stops future renewals; it does not refund the current period. We do not provide refunds or credits for partial periods, unused features, or time during which you did not use the Services.
4. Your Data and Content
4.1 Ownership
You own the data and content you submit to the Services ("Customer Content"). We claim no ownership of it.
4.2 License to Us
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Customer Content solely to provide, secure, and support the Services for you, and as otherwise permitted by our Privacy Policy and Data Processing Addendum.
4.3 Your Responsibility for Customer Content
You represent that you have all rights and consents necessary for us to process the Customer Content you submit, including personal data about your own clients, employees, and contacts.
Because the Services can store Social Security numbers, financial account details, and credit report data, you are responsible for confirming that your collection and use of that data complies with the laws that apply to your business.
4.4 Export and Deletion
You may export your data at any time using the Services. Deletion and post-termination retention are described in Section 15 and in the Data Processing Addendum.
4.5 Aggregated Data
We may generate aggregated, de-identified statistics about use of the Services and use them to operate and improve the Services. Such data never identifies you, your business, or any individual, and is never sold.
5. Acceptable Use
Your use of the Services is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violating it is a material breach of these Terms.
In summary, and without limiting that policy, you may not use the Services in connection with:
Adult content — pornography, sexually explicit material, or escort and sexual services
Cryptocurrency and digital assets — sale, exchange, brokerage, custody, mining, or marketing
Illicit and controlled substances — illegal drugs, drug paraphernalia, and unregulated intoxicants including cannabis, THC, and kratom, regardless of state-law status
Weapons, explosives, and ammunition
Gambling — casinos, sports betting, lotteries, and other games of chance
Multi-level marketing, pyramid and Ponzi schemes, and unsubstantiated income claims
Predatory financial products — payday and advance-fee lending, debt elimination, and any offer to remove accurate information from a credit report
Counterfeit or infringing goods, and stolen property
Human exploitation, including trafficking and child sexual abuse material
Unapproved health claims and deceptive marketing
Hate speech, harassment, threats, and incitement to violence
You also may not compromise the security or integrity of the Services, process personal data without the necessary rights or consent, send messages without the consent the law and carriers require, or resell the Services except as your plan permits. The Acceptable Use Policy sets out these rules in full, along with how to report abuse, how we enforce, and how to appeal.
This list is not exhaustive. We may refuse or discontinue service for any use we reasonably determine creates legal, reputational, financial, or carrier risk, including uses our payment processors, banking partners, or messaging carriers prohibit. If you are unsure whether your business qualifies, ask us at info@shobizapp.com before subscribing.
Violations may result in immediate suspension or termination under Section 15 without refund. Where a violation exposes us to carrier penalties, processor fines, or chargebacks, you are responsible for those amounts under Section 19.
6. Communications: Email and SMS
If you use the Services to send email or text messages to your own contacts, you are the sender. You are responsible for obtaining and documenting the consent those recipients must give, for honoring opt-outs, and for complying with the CAN-SPAM Act, the Telephone Consumer Protection Act, carrier requirements, and applicable state law.
You must not use the Services for messaging that is prohibited by carriers, including messaging related to illegal substances, or high-risk financial offers where prohibited.
We may suspend messaging features if your traffic generates excessive complaints, carrier violations, or spam reports.
Messages we send you. By providing a mobile number, you consent to receive account and service text messages from us. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to marketing messages is not a condition of purchase.
7. Electronic Signatures and Records
The Services include electronic signature features. By using them, you consent under the federal ESIGN Act and applicable state law to:
Transact business electronically and receive records electronically
The use of electronic signatures, which have the same legal effect as handwritten signatures
We record signature audit data — including timestamp, IP address, and user agent — to evidence signing. You may withdraw consent to electronic records by contacting us, but doing so may prevent you from using signature features.
We are not a party to the agreements you create or sign using the Services, and we do not verify their legality, accuracy, or enforceability.
8. Artificial Intelligence Features
Some features use AI models to assist your work, such as AI-assisted message replies and analysis of notes.
AI output may be inaccurate. It is a suggestion, not advice, and you are responsible for reviewing it before relying on it or sending it to a third party.
Your data is not used to train models. Neither we nor our AI vendors train models on your content.
You can switch AI off. Each business can disable AI processing for its own data at Business Settings → Privacy & AI. When disabled, no AI feature processes that business's data, including features added later.
9. Third-Party Services
The Services integrate with third parties such as payment processors, banking data providers, messaging carriers, calendar and meeting providers, and WordPress. Your use of a third-party service is governed by that provider's own terms, and we are not responsible for it.
If a third-party service changes or becomes unavailable, the related feature may change or stop working. That alone is not a breach of these Terms.
10. The ShoBiz WordPress Plugin
The plugin connects your WordPress site to the ShoBiz platform. Using it requires a ShoBiz account and a connection key, and some features depend on third-party plugins on your site (for example, WooCommerce) and on your plan.
You are responsible for the content and data you choose to sync, for having the rights and consents needed to process it, and for keeping connection keys confidential. You may disconnect a site at any time from your WordPress admin or your ShoBiz account.
11. Affiliate and Referral Program
If you participate in our affiliate or referral program, additional program terms apply and are incorporated here by reference.
Commissions are earned only on qualifying paid subscriptions that are not refunded, charged back, or cancelled during any clawback period. We may withhold or reverse commissions for fraud, self-referral, or misrepresentation, and may change or end the program on notice. You must not make earnings claims about ShoBiz or advertise using our trademarks without our written permission.
12. Intellectual Property
The Services, including all software, designs, text, and trademarks, are owned by us or our licensors and protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
All rights not expressly granted are reserved. You may not use our name or logos without our written permission.
13. Feedback
If you send us suggestions or feedback, you grant us an unrestricted, perpetual, royalty-free right to use it without obligation or compensation to you.
14. Confidentiality
Each party may receive non-public information of the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel who need it and are bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, independently developed, or lawfully received from a third party. Disclosure required by law is permitted with prompt notice where lawful.
15. Suspension and Termination
By you. You may cancel at any time as described in Section 3.3.
By us. We may suspend or terminate your access if you materially breach these Terms, if your account is used unlawfully, if payment is overdue, or if required by law. Where practical and not prohibited, we will give notice and an opportunity to cure.
Emergency suspension. We may suspend immediately without notice if your use poses a security risk, threatens the Services or other customers, or exposes us to liability.
Effect of termination. Your right to use the Services ends. You may export your data for 30 days after termination, after which we delete it within 90 days, except where retention is legally required. Fees already paid are not refunded.
Survival. Sections 4.1, 4.5, 12, 13, 14, 16, 17, 18, 19, 20, 21, and 22 survive termination.
16. What We Are Not
ShoBiz is not a bank, lender, or money transmitter. We do not extend credit, hold deposits, or make lending decisions.
ShoBiz is not a consumer reporting agency under the Fair Credit Reporting Act.
ShoBiz is not a credit repair organization. We do not perform credit repair or promise to improve any credit score.
ShoBiz does not provide financial, tax, investment, accounting, or legal advice.
Approval for any bank, credit, or financing product is determined solely by the issuing institution. Results vary, and we make no guarantee of any financial or business outcome.
17. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that data or calculations produced by the Services will be accurate or complete. You are responsible for verifying any financial, tax, or accounting output before relying on it.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
No indirect damages. Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.
Cap. Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total amount you paid us in the twelve (12) months immediately before the event giving rise to the claim.
Exclusions. These limits do not apply to your payment obligations, your indemnification obligations, either party's fraud or willful misconduct, or any liability that cannot be limited by law.
These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
19. Indemnification
You will defend, indemnify, and hold harmless ShoBiz, VaultWiz LLC, and our officers, employees, and agents from any third-party claim, and any resulting damages, losses, and reasonable legal fees, arising out of:
Your Customer Content, or your collection, use, or disclosure of personal data
Your use of the Services in violation of these Terms or applicable law
Messages you send using the Services
Agreements you create or execute using the Services
Your infringement of a third party's rights
We will notify you of the claim, give you control of the defense (except we may participate with our own counsel), and reasonably cooperate. You may not settle a claim in a way that imposes obligations on us without our written consent.
20. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
20.1 Informal Resolution First
Before starting arbitration, you agree to contact us at info@shobizapp.com with a written description of the dispute and the relief you seek, and to negotiate in good faith for 30 days. We will do the same. This step is a condition of starting arbitration.
20.2 Binding Arbitration
If the dispute is not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, administered by the American Arbitration Association ("AAA") under its Commercial or Consumer Arbitration Rules, as applicable.
The arbitration will be held in Sheridan, Wyoming, or by videoconference or on documents where the AAA rules allow and you request it
One arbitrator will decide, and the award may be entered as a judgment in any court of competent jurisdiction
The arbitrator decides all issues except the enforceability of Section 20.3, which is for a court
The Federal Arbitration Act governs the interpretation and enforcement of this section
20.3 Class Action Waiver
YOU AND SHOBIZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court, and the rest of this Section 20 still applies.
20.4 Exceptions
Either party may bring an action in small claims court for a qualifying claim, and either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to the Services.
20.5 Your Right to Opt Out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing info@shobizapp.com with the subject line "Arbitration Opt-Out" and including your name and account email. Opting out does not affect any other part of these Terms, and we will not retaliate for it.
20.6 Time Limit
Any claim must be brought within one (1) year after it arises, or it is permanently barred, unless a longer period is required by law.
21. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Subject to Section 20, the state and federal courts located in Wyoming have exclusive jurisdiction, and both parties consent to that venue and waive any objection to it.
22. General
Changes to these Terms. We may update these Terms. We will revise the "Last Updated" date and, for material changes, give at least 30 days' notice by email to the address on your account or by a prominent notice in the Services. Continued use after the effective date means you accept the revised Terms. If you do not accept them, cancel before they take effect.
Notices. We may give notice by email to the address on your account or by posting in the Services. You may give notice to info@shobizapp.com.
Assignment. You may not assign these Terms without our written consent, except to a successor in a merger or sale of substantially all assets. We may assign freely. Any other attempted assignment is void.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations.
Severability. If a provision is unenforceable, it is modified to the minimum extent necessary, or severed, and the rest remains in effect.
No waiver. A failure to enforce a provision is not a waiver of it.
Independent contractors. The parties are independent contractors. These Terms create no partnership, joint venture, agency, or employment relationship.
Entire agreement. These Terms, together with the Privacy Policy, the Data Processing Addendum, and any plan or program terms you accept, are the entire agreement between us on this subject and supersede all prior agreements on it.
